The Terms & Policies set forth below govern the use of the KYOO platform and KYOO application for Users offered by KYOO. You are required to understand and comply with these Terms & Policies as they relate to your rights and obligations as a User. By registering and/or using KYOO, you are deemed to have read, understood, and agreed to all the contents of these Terms & Policies. These Terms & Policies constitute an agreement in a legally binding contract between you and KYOO. If you do not agree with any part or all of the Terms & Policies, you are not permitted to use KYOO services. Below are the User Terms and Policies.
If you are an individual, you qualify to receive a license from us and use KYOO Services if you are at least 18 years old or have been married and have the legal capacity to enter into a valid contract. If you are an organization or company, you qualify to receive a license from us and use KYOO Services if: (a) You are a legally established legal entity or business entity under applicable laws. (b) The person registering this account on your behalf is an authorized representative of the organization or company with the legal capacity to bind the organization or company in an agreement. (c) You and the representative have obtained the necessary approvals from other parties or institutions to agree to these Terms & Policies. If you do not meet these qualifications, you are prohibited from using KYOO Services.
To access KYOO Services, Users must create an account through the Application or Website. Users can select the type of account based on the available account classifications. Users understand that each account type has different Service Fees and KYOO Service access rights. Users are fully responsible for the accuracy, correctness, and completeness of the data/information entered when creating an account. Users must ensure that their account information remains accurate, up-to-date, and complete. Users may delegate account management to their employees, who will manage the account on their behalf. In this case, Users bear full responsibility for the actions taken by their employees in managing the account, including but not limited to any losses suffered by the User, KYOO, or third parties.
We are authorized to establish a Privacy Policy for anyone accessing the Application, Website, and/or using KYOO Services. Every User must comply with the Privacy Policy, which can be viewed on the website page www.kyoo.id/privacy_policy.html.
Users agree that we may add, modify, or remove features or functions in KYOO Services or terminate KYOO Services ("Termination"). Users understand that we cannot guarantee that additions, modifications, or removals of KYOO Service features or functions will be compatible with the hardware used by Users. As a result, Users release KYOO from any losses incurred due to hardware incompatibility. Users understand that we do not guarantee KYOO Services will always be available in their current or any other form, nor that we will support, maintain, or continue offering KYOO Services or any version thereof. Therefore, we may discontinue the provision of all or part of KYOO Services at any time. In such cases, Users release us from any losses incurred due to the termination of KYOO Services.
KYOO has the right to determine whether a User qualifies and is accepted to use KYOO Services. At any time, we may prohibit, prevent, or revoke access to KYOO Services for any User at our sole discretion, without any obligation to disclose or explain our reasoning. Users are fully responsible for using KYOO Services in a reasonable manner and agree not to hold KYOO accountable for any claims, losses, and/or damages related to the use of KYOO Services. Without limitation, Users agree not to use KYOO Services for activities that: (a) Infringe or violate the intellectual property rights of others. (b) Violate the publicity or privacy rights of others. (c) Are illegal, encourage, or relate to any illegal acts, directly or indirectly. (d) Contain software viruses or any code, files, or programs designed to interrupt, destroy, manipulate, damage, or limit the functionality of any software, hardware, or telecommunications equipment. (e) Sell access to or reproduce the Service for third parties. (f) Engage in fraud, deception, or misleading practices. If any violation of this policy is indicated, we have the right to terminate KYOO Services and cancel the User’s account without any obligation to refund subscription fees or compensate for any losses. If possible, we will attempt to provide 24-hour notice before restricting the User’s access. However, we reserve the right to report violations to government authorities and law enforcement agencies as necessary.
KYOO may cancel or suspend a User’s account at any time if, at our sole discretion, the User has committed a material or repeated violation of these Terms & Policies or any applicable provisions regarding KYOO Service usage. Users have the right to cancel their accounts at any time. The account cancellation process is available in the Application or Website. Cancellation is effective immediately. If a User cancels their account before the end of their monthly or annual subscription period, they are not entitled to any refund of fees already paid in advance (unless otherwise agreed upon by us). Upon account cancellation: (a) The User’s account will be deactivated or deleted. (b) All rights granted under these Terms & Policies will immediately terminate. (c) We may (but are not obligated to) delete the User’s stored data on our servers. Users are responsible for saving or backing up their data before account cancellation. Users release KYOO from any liability for losses, damages, or consequences arising from account cancellation or service suspension, including data deletion, loss, or other impacts.
Users understand that KYOO Services are provided "as is" and "as available," meaning that all risks associated with using KYOO Services are borne by the User. Users understand that we do not guarantee: (a) KYOO Services will meet the specific needs of the User. (b) KYOO Services will be uninterrupted, fast, secure, or error-free. (c) KYOO Services will be accurate and reliable. (d) The quality of any products, services, information, or other materials purchased through KYOO Services will meet the User’s expectations. (e) Any errors in KYOO Services will be corrected. We will strive to notify users of any technical issues related to KYOO Services during normal business hours.
Users acknowledge that we may use third-party suppliers to provide hardware, software, networking, connectivity, storage, and other technologies necessary for KYOO Services. We are not responsible for any losses or damages resulting from the actions or negligence of any third-party suppliers. To the extent permitted by law, we disclaim all other warranties that may be implied or applicable under any regulation or law.
We may include links to other websites or content owned or operated by third parties. These linked sites or content are beyond our control, and we are not responsible for any errors, omissions, delays, defamation, slander, falsehoods, pornography, offensive content, inaccuracies, or materials contained therein, or the consequences of accessing those sites. Given that third-party sites may have different privacy policies and security standards, we encourage Users to review those policies before providing personal information. Users understand that accessing linked sites is at their own risk.
To the extent permitted by law, we are not liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, business, goodwill, data, or other intangible losses arising from: (a) Use or inability to use KYOO Services. (b) Unauthorized access to or alteration of User communications or data. (c) Statements or actions of third parties. (d) Any other matter related to KYOO Services. In any case, our total liability is limited to the Service Fees paid by the User in the last 12 months.
Users are fully responsible for all activities resulting from their use of the KYOO Services through their accounts without exception. Users must maintain the security of their accounts, passwords, and related information, thereby releasing us from liability for any losses or damages resulting from their failure to secure their accounts and passwords. Users are required to indemnify KYOO for any claims, actions, legal proceedings, costs, burdens, and expenses incurred or suffered by KYOO as a result of the use of KYOO Services through the User's account and/or failure to comply with these Terms & Conditions.
When using KYOO Services, Users are prohibited from: (a) using KYOO Services unlawfully, for any illegal, fraudulent, or unlawful purposes, or in any way that violates these Terms & Conditions; (b) infringing KYOO's or any third party’s intellectual property rights; (c) transmitting any material that is defamatory, offensive, or inappropriate; (d) using KYOO Services in a manner that damages, disables, overburdens, impairs, or interferes with KYOO Service systems or security, or disrupts other users; (e) obtaining or collecting any information or data from KYOO Services or related systems, or attempting to intercept any transmissions to or from KYOO servers running the Services; (f) disclosing or distributing information related to other KYOO Service users to any third party or using other users’ information for marketing purposes without their explicit consent; or (g) accessing or registering a User login through bots or other automated methods.
Users acknowledge that all content and materials within the Services, including but not limited to copyrights and other intellectual property rights in artwork, graphics, photography, text, video, sound clips, trademarks, and logos found in the Application and/or Website (collectively referred to as "Content"), are owned by KYOO. Users agree not to challenge or take any action contrary to this ownership. Users may not copy, reproduce, reuse, retransmit, adapt, publish, display, upload, share, modify, broadcast, or create derivative works from the Content in any manner, including for public or commercial purposes, without prior written consent from KYOO. KYOO reserves the right, at its sole discretion, to enforce its intellectual property rights to the fullest extent permitted by law, including through criminal prosecution. Users grant KYOO, its subsidiaries, affiliates, and successors a royalty-free, irrevocable, and perpetual right (including for commercial purposes) to use any information and/or data obtained by KYOO through the User's use of KYOO Services, provided that such information or data is aggregated or anonymized before use. Users grant KYOO, its subsidiaries, affiliates, and successors a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, create derivative works from, distribute, publicly perform, and publicly display User Content worldwide in any media for the provision and promotion of KYOO Services, as permitted by applicable laws. Apart from these rights, KYOO does not claim intellectual property rights over the information and content Users provide to KYOO Services. Users may provide KYOO with comments, feedback, or suggestions regarding the Services, and Users agree that KYOO is free to use, modify, and incorporate such suggestions without any obligation to the Users.
Users authorize KYOO to communicate or contact them via email to deliver advertisements, marketing materials, updates, newsletters, notifications, and other information using the email address provided during account creation and/or other contact addresses from time to time. Users agree to indemnify, defend, and hold KYOO and/or related parties harmless from any and all claims, losses, damages, liabilities, costs, and fines, including but not limited to legal fees, penalties, and data loss resulting from the use or misuse of the Services or any violation of these Terms & Conditions.
These Terms & Conditions may be updated or modified at any time without prior notice. KYOO encourages Users to read and carefully review this page periodically. By continuing to access and use KYOO Services, Users are deemed to accept any changes to these Terms & Conditions.
